Inactive Corporation Inactive corporations are those that have ceased operations, but have not filed dissolution paperwork. While it is still a registered corporate entity under state law, the owners cannot utilize the business to enter into contracts, perform services, or make sales.
What happens to an inactive business?
An inactive business still exists in the eyes of the law. It simply means that it does not engage in any type of transactions or business. As noted before, until the company is dissolved, it will still exist. Even when a business is inactive, this doesn’t mean it’s not subject to certain reporting requirements.
Can you reinstate a corporation?
For California companies, reinstatement depends on which state office suspended your company. If the Secretary of State (SOS) suspended/forfeited your company, then you will have to request revival by filing a Statement of Information form. You can submit this by mail, in person, or online.
Can I use an inactive business name?
If the name was registered in your state, it will be listed in the state’s business entity database. If the company is inactive, you may not be able to use its name. If the company is listed as dissolved, the name may be available for your use.
Can a corporation be dissolved in New York?
The New York Department of State does not dissolve businesses for not paying the biennial fee. However, the department of state will dissolve your corporation by proclamation if instructed to do so by the New York Department of Taxation and Finance (DTF).
How to reinstate a New York State Corporation?
New York Tax Law sets the requirements for reinstatement of New York State corporations (section 203-a) and foreign corporations (section 203-b). Once the corporation is reinstated, it re-acquires the same powers, rights, and obligations it had before it was dissolved by proclamation or had its authority to do business annulled.
